Algemene voorwaarden voor custom orders

By visiting our site and engaging with us for business purposes, you agree to be bound by the following additional terms and conditions (“Business Terms”). These Business Terms apply exclusively to business customers and supplement the general Algemene voorwaarden, which govern the use of the website, products, and services.

SECTION 1 – CUSTOM PRODUCTS

Business customers may request custom-designed products. Custom products will be produced only once the design has been approved by the business customer and full payment has been received. Custom products may include logos, branding, or other specific elements as requested by the business customer.

Custom products are non-refundable, except in the case of manufacturing defects. It is the responsibility of the business customer to ensure the accuracy of the design specifications prior to approval.

The business customer agrees that unless otherwise stated in a separate agreement, the designs for custom products remain the intellectual property of Pocket Tools. If there is a need for specific intellectual property arrangements, these will be addressed in a separate contract.

SECTION 2 – PRICING AND PAYMENT

The pricing for custom products is primarily based on the fixed prices listed on our website for specific quantities. Price adjustments will only be considered in very specific cases, based on the unique requirements of the order. Any deviations from the standard pricing will be agreed upon on a case-by-case basis and confirmed before the production of custom products begins.

Business customers will receive invoices for their orders, which must be paid in accordance with the payment terms specified. These terms may differ from consumer payment terms, and any delay in payment may result in order delays or cancellation.

Full payment for custom products is required before production begins, unless a different payment arrangement has been agreed upon. Payments may be processed via bank transfer or other payment methods as agreed between Pocket Tools and the business customer.

SECTION 3 – ORDER CANCELLATION AND MODIFICATIONS

Once a business customer places an order for custom products and the design is approved, the order cannot be canceled. Any changes to an order after approval may incur additional charges and require a new agreement.

Business customers may request modifications to their order within a reasonable timeframe before production starts. Any modifications after approval may result in additional charges and may impact the delivery timeline.

SECTION 4 – DELIVERY AND SHIPPING

The shipping times for business orders depend on the complexity of the order and the custom products involved. Pocket Tools will provide estimated delivery timelines when the order is confirmed.

Delivery charges are calculated based on the size, weight, and destination of the order. Business customers are also responsible for any applicable customs duties or taxes on international orders.

Delivery is considered complete once the product has been handed over to the carrier. Pocket Tools is not responsible for any delays or damages once the product is in transit. Business customers should ensure that the shipping details provided are accurate.

SECTION 5 – BUSINESS ACCOUNT REGISTRATION AND USE

Business customers must register for an account on our website to place orders. Business customers are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

Business customers agree to provide accurate and current information, including billing and shipping addresses, email addresses, and payment details, to facilitate the processing of orders and delivery.

SECTION 6 – LIABILITY AND INDEMNIFICATION

Pocket Tools is not liable for any indirect, incidental, or consequential damages arising from the use of our products or services. Business customers are responsible for verifying that the products are suitable for their specific business needs.

Business customers agree to indemnify, defend, and hold harmless Pocket Tools, its affiliates, employees, and agents from any claims, damages, losses, or liabilities arising out of the use of our products and services or any breach of these Terms and Conditions.

SECTION 7 – CONFIDENTIALITY AND NON-DISCLOSURE

Pocket Tools and business customers agree to maintain the confidentiality of any sensitive information shared during their business relationship. This includes but is not limited to design files, business strategies, and proprietary information.

In certain cases, business customers may be required to sign a separate Non-Disclosure Agreement (NDA) related to sensitive information, including custom designs or any business-related details that require confidentiality.

SECTION 8 – DISPUTE RESOLUTION

Any disputes between Pocket Tools and business customers related to the services, products, pricing, or custom orders should be resolved through informal communication. If necessary, disputes will be escalated to mediation or arbitration in accordance with Dutch law.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Netherlands. Any legal disputes shall be subject to the exclusive jurisdiction of the courts in the Netherlands.

SECTION 9 – CHANGES TO BUSINESS TERMS

Pocket Tools reserves the right to modify these Business Terms at any time. Any changes will be communicated to the business customer via email or through the registered account details. It is the responsibility of the business customer to review these Terms periodically for updates.
